Contest Rules
Before submitting your original material ("Material") to the DeSkToPsToRy website (the "Website"), please read the following Agreement. Upon submission of any material you agree to the following:
Your submission of the Material to DeSkToPsToRy is voluntary and not in confidence, and no confidential or fiduciary relationship exists or is being created by this Agreement or your submission of the Material.
You hereby grant to DeSkToPsToRy the exclusive rights to the Material. DeSkToPsToRy may use the Material on the Internet and all media such as Television, Radio, Stage, CD's for promotional and commercial purposes at its discretion to promote DeSkToPsToRy. You understand and agree that you will not receive compensation for this exclusive grant of rights.
You represent and warrant that you are at least 13 years of age, that the Material is completely original with you (except to the extent in the public domain), that no federal or state labor laws have been violated in the production or manufacture of the Material, that the Material does not infringe any rights of any third parties and the Material will not libel or defame any third party, and that you have the exclusive right and authority to submit the Material to DeSkToPsToRy upon the terms and conditions stated herein. You will indemnify DeSkToPsToRy against and from any and all claims, loss, liability (including attorneys' fees and court costs) that may be asserted DeSkToPsToRy or incurred by DeSkToPsToRy, at any time, in connection with the Material or any use thereof or in connection with any breach or alleged breach by you of the representations and warranties in this Agreement.
You agree that, should you bring any action against DeSkToPsToRy for wrongful appropriation of the Material or any part thereof, such action shall be limited to an action at law for damages. In no event shall you be entitled to an injunction or any other equitable relief.
You recognize that DeSkToPsToRy has access to and/or may create or have created materials and ideas that may be similar or identical to the Material. You agree that you will not be entitled to any compensation because of the use by DeSkToPsToRy of any such similar or identical material, which may have been independently created by DeSkToPsToRy or may have come DeSkToPsToRy from any other independent source.
This Agreement states the entire understanding between DeSkToPsToRy and you.
You understand that whenever the word "DeSkToPsToRy" is used above, it refers to DeSkToPsToRy, any company affiliated with DeSkToPsToRy, DeSkToPsToRy subsidiaries, and officers, directors, agents, servants, employees, and clients, as well as the officers, directors, agents, servants, employees, and clients of all such affiliated and subsidiary companies.
DeSkToPsToRy may assign any and all of its rights hereunder at its sole discretion.
The laws of the New York shall govern this Agreement, and you consent to exclusive jurisdiction in the state of New York.
One winner will be chosen to come to New York Show. Twelve winners for T-Shirts.
